Contract review for startups
Founders sign NDAs, customer agreements, vendor contracts and employment terms long before they have a legal team. We review, redline and explain each one in plain English before you sign.
What the law asks of startups businesses
In a startup's first years, most of the contracts that shape the business are signed quickly: a mutual NDA before a pilot, a customer master services agreement, a software vendor's standard terms, offer letters and consultancy agreements. Terms on liability, intellectual property, payment and termination set in these early contracts are hard to change later, and investors read them in due diligence.
Common risks in early contracts include uncapped liability and indemnities, intellectual property that does not clearly pass to the company, automatic renewal and lock in terms, one sided termination rights and missing data protection clauses. Contracts that involve customer or employee personal data also need terms that meet the DPDP Act.
